Terms of Service

The short version: Bit Rage Launchpad is an orchestration and integration platform. We are NOT a financial services provider. We don't hold your money. We don't custody your books. Every account we set up is in YOUR name. You can leave anytime with everything intact. We just connect things.

1. What Bit Rage Launchpad is

Bit Rage Launchpad ("the Service") is a software-as-a-service offering that helps new business owners in Alberta:

Set up Alberta business entities (sole proprietorship or provincial corporation)
Register with the CRA (Business Number, GST/HST account, payroll account if needed)
Configure third-party SaaS tools (QuickBooks Online Canada, Float banking, Stripe Canada, vertical-specific software)
Bind insurance through Zensurance and similar Canadian brokers
Track regulatory deadlines and compliance requirements
Provide AI agents that handle customer-facing operations (phone answering, lead qualification, quote drafting, scheduling, customer success)

2. What Bit Rage Launchpad is NOT

Bit Rage is explicitly NOT:

A financial services provider, bank, or money transmitter
A licensed accountant, CPA, or tax preparer
A licensed lawyer or law firm
A licensed insurance broker (we facilitate connections to brokers)
A registered investment advisor
A custodian of your business financial data (your books live in YOUR QuickBooks; your money lives in YOUR bank)

3. Sovereignty contract

Every account Bit Rage helps you set up is created in YOUR name, with YOUR ownership. You retain full control. Specifically:

Your QuickBooks Online Canada account is in your name. We have read access via OAuth that you authorize and can revoke.
Your Float (or other bank) account is in your name. We never have signing authority.
Your Gusto payroll account (if applicable) is in your name. We orchestrate payroll runs you authorize.
Your Stripe Canada account is in your name. We never receive your customers' money.
Your business insurance, licenses, and permits are issued to you, not us.

If you cancel Bit Rage, every account stays. You take everything. We just stop orchestrating.

4. AI agents and automation

Bit Rage uses AI agents to handle parts of customer service. These agents:

Operate within boundaries you set during onboarding (brand voice, pricing ranges, decision limits)
Never have authority over your money, contracts, hires, or final pricing decisions
Always escalate to a real human (your Agent Operator) when uncertain
Are supervised 24/7 by NATRIX or a designated Agent Operator

Your customers are notified that AI may handle initial inbound calls and SMS, and human escalation is always available.

5. Pricing and payment

Subscription tiers (CAD, plus GST):

Essentials: $129/mo
Standard: $199/mo
Full: $349/mo
Pro: $549/mo

Pilot pricing for first 5 customers per pack: 50-60% discount for first 3 months. Setup fees vary by pack ($199-$999 CAD).

Subscriptions are month-to-month. No annual contract. Cancel anytime by emailing cancel@bitrage.ai.

6. 12-month customer journey

Bit Rage Launchpad is designed as a Year One Specialist service. At Month 13, you graduate. Three options:

Option A — Free alumni: Take everything you built. We hand off to your CPA. Continue solo. $0/mo.
Option B — Year 2 alumni tier: Dashboard stays active, compliance reminders continue, light support. $29/mo.
Option C — Continue Standard subscription: If you're growing fast and want to keep using AI agents.

7. What you're responsible for

You are responsible for:

Final approval of any commitments AI agents make on your behalf
Final review and signing of tax filings, contracts, and legal documents (we draft; you sign)
Compliance with applicable Alberta and federal laws as the business owner
Truthful information in your intake form and ongoing customer communications
Maintaining trade certifications and credentials (we track; you renew)

8. Limitation of liability

Bit Rage's liability for any claim related to the Service is limited to the amount you've paid in the 12 months prior to the claim. We provide the Service "as-is" with reasonable commercial efforts. We don't guarantee specific business outcomes — we provide tooling, automation, and operations support.

9. Termination

You may cancel anytime. We may terminate accounts for: non-payment, abusive behaviour toward Agent Operators, attempts to misuse AI agents for fraud or spam, or violation of applicable laws. Termination doesn't affect your ownership of accounts you set up through Launchpad.

10. Governing law

These Terms are governed by the laws of Alberta and Canada. Disputes will be resolved in Alberta courts. Both parties waive jury trial (which doesn't apply in civil disputes in Alberta but stated for clarity).

11. Changes to these Terms

If we make material changes, we'll email all active customers at least 30 days before changes take effect. Continued use of the Service after the effective date constitutes acceptance of the new Terms.
